We’re looking for a skilled attorney with a passion for technology to join the Corporate External and Legal Affairs (CELA) Cloud + AI legal team to serve as a trusted advisor for the CoreAI engineering group in the role of Corporate Counsel. The candidate filling this role will take on a varied portfolio of legal work supporting some of Microsoft’s most strategically important products and services for our CoreAI teams, including our Speech and Vision AI Services and aspects of our platform for agentic AI.
This role will include a varied portfolio of legal work including compliance for product engineering and transactional support, together with work on important strategic projects and initiatives.
Responsibilities
- Legal Advice and Counsel
- Contribute to deep engagement as “front-line” legal counsel with business clients to understand technical engineering concepts and strategy;
- Contribute to high-quality, pragmatic legal and business advice regarding a wide range of issues, including product development, security, privacy/data protection, trade, compliance, and intellectual property, often in collaboration with legal department colleagues and policy specialists;
- Contribute to thought leadership and counseling on emerging issues, help create and execute on plans to achieve both short-term and long-term results, and communicate with key legal and business stakeholders;
- Analyze and work to solve complex and cutting-edge issues;
- Work effectively with colleagues across CELA and business clients on projects and initiatives; and
- Some drafting and negotiating of contracts with a technology focus.
- Operational Excellence
- Develop and implement processes, templates, track projects and share knowledge across the wider Microsoft legal community.
- Provide input and continuous feedback to improve process efficiencies within role; identifies opportunities and tools to increase operational efficiency and effectiveness.
- Manage project work expenses according to budget and proposes efficiencies.
- Models compliance and maintains confidentiality, attorney-client privilege, privacy, and the security of data.
- Communication
- Collaborates effectively within Legal and Corporate Affairs work group and direct business clients.
Qualifications
Required/minimum qualifications
- Juris Doctor Degree or international equivalent degree AND 1+ year(s) experience as a practicing attorney OR equivalent experience.
- Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.
Additional or preferred qualifications
- Juris Doctor (JD) degree or international equivalent, and 2+ years of experience as a practicing attorney or equivalent legal experience.
- Experience advising on legal issues related to emerging technologies, including artificial intelligence (AI), privacy, digital safety, intellectual property, competition law, or other technology-focused matters.
- Experience analyzing novel legal issues and developing practical, business-oriented solutions in areas involving evolving technologies, changing regulatory frameworks, or issues of first impression.
- Demonstrated ability to operate effectively in fast-paced, ambiguous environments while exercising sound judgment and strong problem-solving skills.
- Experience supporting technology companies, technology transactions, product counseling, or in-house legal teams.
- Experience counseling engineering and product teams developing products or services for enterprise or commercial customers, particularly with respect to privacy, security, trade compliance, AI legal compliance, and Responsible AI.
- Experience negotiating inbound and outbound commercial agreements, including complex terms of use, licensing arrangements, or other agreements involving AI services, AI models, or emerging technology offerings.
- Proven ability to collaborate effectively across legal disciplines and subject matter areas to drive business outcomes and advance organizational objectives.
- Effective communication skills, including the ability to effectively advise legal and business executives and translate complex legal or technical concepts into clear, actionable guidance.
- Demonstrated ability to manage multiple high-priority, mission-critical projects simultaneously while balancing competing business needs.
Legal Counsel IC3 - The typical base pay range for this role across the U.S. is USD $105,800 - $204,000 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $138,400 - $223,300 per year.
